This will contain the intended situation of the Registered Office, (this will be either in England and Wales, or Scotland) and the details of the consenting Secretary and Director(s).
The Memorandum and Articles of Association are not provided by Companies House, but can be purchased from a Legal Stationer. You will find these organisations listed in Yellow Pages.
Once these four documents have been completed, you should return them to Companies House together with the relevant filing fee.

However, the "old" Europe's distaste for launching a new business could soon find itself sweetened, according to another report released by the European Commission, the EU executive body, on Monday. According to the report, the average cost of setting up a new company in the 15 states which joined the EU before 2004 fell from 813 euros ($1,150) to 554 euros between 2002 and 2007.
The administrative procedures required to register a company were cut from 24 days to 12 days over the same period, the report said. Once a business is formed on the state level, most jurisdictions require corporations or Limited Liability Companies to designate a registered agent to receive documentation on behalf of the company.
Very simply, a registered agent is an individual or entity upon whom documents relating to the corporation may be served.
To remain in compliance with state law, a Registered Agent must be designated to receive correspondence on behalf of the company. A Registered Agent will typically receive business and legal documents from county, state, and U.S. agencies on behalf of the corporation and/or LLC.
These documents include such things as notice of litigation (service of process), franchise tax forms and annual report forms.

A memorandum of association is issued as part of the company formation process. This document is effectively the company's lists of rules and regulations by which it will be governed.
The Memorandum of Association will contain the following information :
The location of the company's registered office.
The purpose of the company
Details of the available share capital can be issued by the company
A statement describing the liability of the shareholders or members and any limits thereon.
If the company is a PLC then a clear statement to that effect.
Articles of Association
Articles of association set out the rules for how the directors of the company may run the company.
There are a series of standard articles of association recognised under UK companies law and Table A is commonly used for limited companies.
Table A sets out rules on a broad range of internal activities, including relating to the conduct of general meetings, powers of directors, shares, minutes of meetings, procedures for paying dividends and generally how the company should properly conduct its administrative tasks.
Companies may alter these documents to suit their own particular methods and procedures which they intend to adopt. In general however the documents are often left untouched as they contain broad provisions and offer appropriate guidance for companies in how to conduct their affairs.
